Projects

The Firm handled a great number of projects, which include legal due diligence reports to evaluate and flag potential legal risks associated with mergers and acquisitions. A long and extensive review is conducted on the target company in order to produce a detailed legal report highlighting any issues that may arise in the future in the face of the investor. Issues include disputes, litigation risk, arbitration risk, settlements, debts, loans and labour issues.

Reviewed documents may include, by way of example, the target company’s registration certificate, certificates evidencing the names of shareholders, amounts of shares, schedule of fully or partially owned companies and affiliates, schedule of fully or partially owned tangible and intangible assets, Articles of Associations, internal by-laws, ordinary and extraordinary general assembly decisions, board of directors decisions, schedule of countries the target company is conducting activities, any licensing applications or pre-required approvals submitted to competent authorities, press statements, mortgages, loans, attachments and all in force agreements and contracts.

The Firm, by way of example, has been assigned as legal advisor for the privatization of Jordan Telecom and Queen Noor Aviation Academy and the acquisition of a major share by Standard Chartered Bank in AlJazeera Agriculture Company and the acquisition of Bendar Group by Investbank.
